These Terms of Service ("Terms") govern access to and use of Siach (the "Service") provided by Siach ("Siach", "we", "us"). By creating an account, signing an order form or using the Service, the business you represent ("you", the "Customer") agrees to these Terms.
This document is published in English and Hebrew. For users in Israel, if the two versions conflict, the Hebrew version prevails.
1. The Service
Siach provides AI agents that answer messages on the Customer's WhatsApp Business number, a CRM to manage conversations and leads, and integrations with third-party platforms such as Shopify. The features included in your plan are described on our website or in your order form.
2. Accounts
- The Service is for business use only. The person accepting these Terms confirms that they are at least 18 years old and authorised to bind the Customer.
- You are responsible for the accuracy of your account information, for everyone who uses your account, and for keeping login credentials confidential. Tell us promptly at hello@siach-ai.com if you suspect unauthorised access.
3. WhatsApp Business Platform
- The Service connects to WhatsApp through Meta's WhatsApp Business Platform. You must comply with the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy, as updated by Meta.
- You are responsible for obtaining the opt-in required by WhatsApp before you or the Service message a person, for honouring opt-out requests, and for the content of the messages, templates and offers sent from your number.
- Meta may charge fees for business messaging. How these fees are billed is set out in your plan or order form.
- Meta may limit, suspend or end access to the WhatsApp Business Platform. Siach is not responsible for Meta's decisions, but we will help you where we reasonably can.
4. Customer data
- You keep all rights to the data you and your customers submit to the Service, including conversations, CRM records and store data ("Customer Data"). You grant us a limited licence to process Customer Data only to provide, secure and support the Service and as these Terms allow.
- For personal data in Customer Data, you are the controller and Siach is your processor. We process it according to your instructions, our Privacy Policy and, where applicable, our data processing agreement, which forms part of these Terms.
- You are responsible for having a lawful basis and giving the notices required to process your customers' personal data through the Service.
- You can export Customer Data at any time while your account is active, and for 30 days after it ends.
5. AI-generated replies
Replies are generated automatically by AI models from your instructions, your catalogue and your policies. They can be incomplete or wrong. You decide how the agent introduces itself and when it hands a conversation to a person, and you remain responsible for the prices, offers and commitments made to your customers. Review the agent's configuration and conversations regularly, and tell us if you notice incorrect replies.
6. Acceptable use
You may not use the Service to send spam or unsolicited messages; to sell or promote products or services prohibited by WhatsApp's policies or by law; to mislead, harass or discriminate against people; to collect sensitive data that you are not allowed to process; to infringe the rights of others; or to attempt to break, overload, reverse-engineer or gain unauthorised access to the Service. We may suspend use that breaches this section or puts the Service, other customers or Meta's platform at risk.
7. Fees and payment
- Fees, billing period and payment terms are set out in your plan or order form. Unless stated otherwise, fees are payable in advance and exclude VAT and other taxes, which are added where applicable.
- We may change our prices for a following billing period by giving at least 30 days' notice. Founding-partner rates agreed in writing are honoured for the period stated in them.
- If an invoice is unpaid 14 days after a reminder, we may suspend the Service until it is paid.
8. Third-party services
The Service works with third-party services such as WhatsApp and Shopify. Your use of them is governed by their own terms. We are not responsible for third-party services, their availability or changes they make, though we will try to keep our integrations working.
9. Intellectual property
Siach and its licensors own the Service, the software, the Siach name and logo, and all improvements to them. You may not copy, modify or resell the Service. If you send us feedback, we may use it to improve the Service without obligation to you.
10. Confidentiality
Each party will keep confidential the non-public information it receives from the other and use it only to perform under these Terms, except where disclosure is required by law.
11. Availability and support
We work to keep the Service available and secure, and provide support by email at hello@siach-ai.com. Planned maintenance is announced in advance where possible. Service levels apply only if they are agreed in your order form.
12. Disclaimer
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law.
13. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, arising out of these Terms. Each party's total liability under these Terms is limited to the fees paid or payable by the Customer for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to a party's liability for fraud, wilful misconduct, or a breach of section 6, or to amounts that cannot be limited by law.
14. Indemnity
The Customer will defend and indemnify Siach against third-party claims arising from Customer Data, the messages sent from its WhatsApp number, or its breach of section 3 or 6.
15. Term and termination
These Terms apply for as long as you use the Service. Either party may end the agreement at the end of a billing period by giving notice, or immediately if the other party materially breaches these Terms and does not fix the breach within 14 days of notice. When the agreement ends, access to the Service stops; you can export Customer Data for 30 days, after which we delete it as described in our Privacy Policy.
16. Changes to these Terms
We may update these Terms. We will give at least 30 days' notice of material changes by email or in the Service. If you do not agree with a change, you may end the agreement before it takes effect.
17. Governing law
These Terms are governed by the laws of the State of Israel. The competent courts in Tel Aviv-Jaffa have exclusive jurisdiction over any dispute arising from them.
18. General
These Terms, together with your order form and any data processing agreement, are the entire agreement between the parties about the Service. If a provision is found unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of its business.
